DRB-Hicom’s CTRM to buy Spirit AeroSystems Malaysia for RM426 mil

Acquisition set to boost Malaysia’s aerospace ambitions and CTRM’s global footprint

KUALA LUMPUR — DRB-Hicom Bhd’s aerospace arm Composites Technology Research Malaysia Sdn Bhd (CTRM) will acquire Spirit AeroSystems Malaysia Sdn Bhd for US$95.2 million (RM426.1 million) in a move aimed at strengthening its position in the global aerostructures market.

In a filing to Bursa Malaysia, DRB-Hicom said the purchase would bolster CTRM’s technical expertise, broaden its capabilities across the supply chain, and enhance its long-term competitiveness in a “challenging and dynamic aerospace market”.

Spirit Malaysia, which supplies components for Airbus and Boeing aircraft including the A220, A320, A350, 737 and 787, recorded a profit after tax of RM70.1 million on revenue of just over RM1 billion in the financial year ended 2024. It has net assets of RM770.5 million.

CTRM currently produces composite aerostructures for commercial and military aircraft such as the Airbus A320, A350, A380 and A400M. DRB-Hicom said integrating Spirit Malaysia’s operations would improve CTRM’s ability to bid for larger, integrated work packages and unlock new contract opportunities.

The company added that the acquisition supported government plans to position Malaysia as a regional aerospace hub under the New Industrial Master Plan 2030 and Malaysian Aerospace Blueprint 2030.

If the deal fails to secure approval from the European Commission, the US Federal Trade Commission, or any other relevant authority, the seller will pay a termination fee of US$7 million.
